Pacific Environmental Services, Inc. Announces Acquisition by  MACTEC, Inc.

GOLDEN, CO…May 4, 2000… MACTEC, Inc., headquartered in Golden, Colorado, and Pacific Environmental Services, Inc. (PES), headquartered in Herndon, Virginia, are very pleased to announce MACTEC’s acquisition of PES. MACTEC has purchased all outstanding shares of PES, which will become a wholly-owned subsidiary of MACTEC.

MACTEC has 25 years experience providing services and technologies in construction management, environmental management, remedial services, environmental and water technologies, and engineering design. In the Engineering News-Record’s 1999 Top 200 Environmental Firms survey, MACTEC ranks 26th. For more than 30 years PES has been providing quality environmental services to both government and commercial clients to include air & water quality compliance; occupational health and safety; hazardous waste management; pollution prevention; process validation; value engineering and systems analysis. PES has more than 200 employees with annual revenues of approximately $22 million.

Scott State, MACTEC Chairman and CEO, said: "The acquisition of PES is a key element in MACTEC’s strategy to continue to advance MACTEC’s comprehensive environmental services. Combined with our recently announced merger with Harding Lawson Associates (HLA), MACTEC will now be one of the largest integrated environmental and infrastructure companies in the U.S. with over 2200 employees in 80 offices. The company will have close to $1 billion in backlog and a new complement of large Department of Defense contracts."

Terrence A. LiPuma, PES President, will continue as President of the new MACTEC subsidiary.
